Terms and Conditions

Last updated: 12th October 2026

These terms and conditions govern your use of the ColorGradr website and, where applicable, the use of ColorGradr software and services. Please read them carefully.

References to “ColorGradr”, “we”, “us” or “our” mean ColorGradr Ltd. References to “you” or “your” mean the person or organisation using our Website, software or services.

1. Intellectual property and acceptable use

All content on this Website, unless supplied by a third party or a user, is owned by or licensed to ColorGradr Ltd. This includes text, graphics, images, video, audio, software, documentation, designs, page layouts, code, trademarks, logos and other material.

This content is protected by copyright, trademark and other intellectual property laws.

You may access, display and use Website content for the purpose of evaluating, purchasing, using or obtaining support for ColorGradr products and services.

You must not reproduce, modify, distribute, republish, commercially exploit or create derivative works from Website content without our prior written permission, except where permitted by law.

These restrictions on Website content do not prevent legitimate commercial use of ColorGradr software in accordance with the applicable software licence.

2. Software licences

ColorGradr software is licensed, not sold outright, except that certain licence types may provide an ongoing or perpetual right to use specified versions of the software.

Your right to use the software is governed by the applicable End User Licence Agreement (“EULA”), presented with or made available with the software.

Licence activation limits, permitted licence transfers, supported platforms and any other applicable licence conditions are those stated on the relevant product page, order information or EULA at the time of purchase.

Licence keys may not be shared, resold, published or used by unauthorised persons except where expressly permitted by us.

Where a perpetual licence is offered, “perpetual” means the right to continue using the version or versions included with that licence. It does not necessarily include future major versions, future operating-system or third-party application compatibility, or ongoing support unless expressly stated at the time of purchase.

3. Purchases and payment

Payments for ColorGradr products purchased through our Website are processed by our authorised ecommerce provider, currently FastSpring.

FastSpring acts as Merchant of Record for transactions it processes. Your purchase transaction, payment, applicable taxes and associated transactional terms are therefore subject to FastSpring’s applicable Terms of Sale.

Product pricing, billing periods, taxes and renewal information are shown before an order is completed.

Nothing in these terms affects any rights you may have under applicable consumer law.

4. Subscriptions

Where you purchase a subscription, it will renew in accordance with the billing frequency and renewal terms shown to you when you purchase it, unless you cancel it.

You can cancel future renewal through the order-management facilities provided with your purchase or by contacting us for assistance.

Unless otherwise stated, cancellation stops future renewal but does not terminate the licence before the end of a period that has already been paid for.

If a cancelled subscription is subsequently restarted, the terms and pricing available at the time of reactivation may apply.

5. Updates and upgrades

The updates and upgrades included with a licence depend on the licence type purchased.

Active subscription licences may include software updates and new releases as described at the time of purchase.

Where perpetual licences are offered, updates within the included version or versions may be provided without additional charge, while future major versions may require an optional paid upgrade.

We may change, add or remove features in future releases as the product develops. This does not remove rights already granted under an existing perpetual licence.

6. Trials

We may offer trial versions of our software so that users can assess compatibility and suitability before purchasing.

Trial availability, duration and conditions may vary.

Use of a trial does not affect any statutory rights that apply when a consumer subsequently purchases digital content.

7. Refunds and consumer rights

Refund requests and payment-related cancellations for purchases processed by FastSpring are subject to FastSpring’s applicable terms and procedures together with any mandatory rights available under applicable law.

UK consumers have statutory rights relating to digital content. Nothing in these terms excludes, restricts or replaces rights that cannot lawfully be excluded.

Where digital content is made available immediately following purchase, any statutory right to cancel may be affected where the customer has expressly agreed to immediate supply and acknowledged the consequences for their cancellation rights in accordance with applicable law.

8. Prohibited use

You must not use the Website, software or services in a way that:

(a) is unlawful, fraudulent or abusive;

(b) damages, disrupts or interferes with the Website, software, our systems or another person’s use of them;

(c) attempts to gain unauthorised access to systems, accounts, licence servers or data;

(d) circumvents or attempts to circumvent software licensing, activation or copy-protection measures;

(e) infringes intellectual property rights or other rights belonging to ColorGradr or any third party; or

(f) introduces malicious software, code or other harmful material.

9. Links to third-party websites

Our Website may contain links to third-party websites and services.

Unless expressly stated otherwise, these sites are not controlled by ColorGradr and a link does not constitute our endorsement of the third party or its products or services.

We are not responsible for third-party websites, their availability, content, security or privacy practices.

10. Privacy

Our collection and use of personal information is governed by our Privacy Policy, available on the ColorGradr Website.

Third-party providers involved in purchasing, payment, licensing or service delivery may also process personal information under their own privacy notices.

11. Website availability

We use reasonable efforts to keep the Website and online services available, accurate and secure.

However, we do not guarantee that the Website will always be uninterrupted or error-free, and access may occasionally be restricted for maintenance, security, technical reasons or circumstances beyond our reasonable control.

We may modify, suspend or discontinue Website features or services from time to time.

Nothing in this section limits statutory rights relating to paid software or digital content.

12. Compatibility

We make reasonable efforts to describe supported systems, platforms and third-party applications accurately.

Because operating systems, host applications, hardware and third-party software change over time, we cannot guarantee that every release of ColorGradr will remain compatible indefinitely with future versions of third-party products.

Customers should refer to the current system and compatibility information before installing or upgrading third-party software.

This does not affect any statutory rights or specific compatibility commitments made when a licence was purchased.

13. Limitation of liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.

If you are a consumer, we do not exclude liability for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for losses arising from use of our products for business purposes where consumer law permits such exclusion.

If you use ColorGradr wholly or mainly for business purposes, then, to the maximum extent permitted by law, we will not be liable for indirect or consequential losses or for loss of profit, revenue, business, contracts, anticipated savings, goodwill or business opportunity.

You are responsible for maintaining appropriate backups of projects, media, settings and other data.

14. Events outside our control

We will not be responsible for delay or failure caused by circumstances outside our reasonable control.

Where such circumstances affect a paid service, this clause does not restrict any rights or remedies that cannot legally be excluded.

15. Changes to these terms

We may update these terms from time to time, for example to reflect changes to our services, technology or legal requirements.

Updated terms will apply to use of the Website from the date they are published.

Changes will not retrospectively remove material rights already granted under a paid licence except where permitted by law or expressly agreed with you.

16. Transfer of rights

You may not transfer your rights under these terms except where the applicable licence permits it or we agree otherwise.

We may transfer our rights and obligations to another organisation provided that doing so does not reduce any mandatory rights you have under applicable law.

17. Entire agreement

These terms, together with our Privacy Policy and any applicable EULA, set out the terms relating to your use of the Website and ColorGradr software.

For purchases processed through FastSpring, FastSpring’s applicable Terms of Sale govern the purchase transaction.

Nothing in this clause excludes liability for fraudulent misrepresentation or affects statutory rights that cannot be excluded.

18. Third-party rights

Unless expressly stated otherwise, a person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

19. Severability

If any provision of these terms is held to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed only to the extent necessary.

The remaining provisions will continue in effect.

20. Waiver

A delay or failure by either party to exercise a right or remedy does not constitute a waiver of that or any other right or remedy.

21. Governing law

These terms are governed by the laws of England and Wales.

If you are a consumer, nothing in this clause deprives you of mandatory protections available under the laws of the country in which you live, and you may have rights to bring proceedings in courts other than those of England and Wales.

If you are acting in the course of business, the courts of England and Wales will have exclusive jurisdiction over disputes arising from these terms.
